These Terms of Service ("Terms") govern your access to and use of the website, software, and services provided by K00l Runnings LLC ("K00l Runnings," "we," "us," or "our"). By accessing our Website or engaging our services, you agree to these Terms.
1. Description of Services
K00l Runnings provides custom software engineering services, including a unified order inbox, delivery platform sync, customer messaging, order status automation, multi-location routing, and feedback and review management, specifically tailored for restaurants and food vendors. The exact scope of any engagement is defined in a separate Master Services Agreement (MSA) or Statement of Work (SOW).
2. Acceptance of Terms
By accessing or using our Website or services, you agree to be bound by these Terms and our Privacy Policy.
3. Intellectual Property
Upon full payment of all undisputed fees for a project, K00l Runnings assigns to the client all rights, title, and interest in the custom code and platform developed specifically for that client. K00l Runnings retains ownership of pre-existing code libraries and reusable middleware used across multiple client projects, and grants the client a perpetual, royalty-free license to use those components within their delivered platform.
4. Client Responsibilities
Clients are responsible for providing timely access to menu, order, and delivery platform data required to complete the engagement. Delays caused by the client may result in adjusted timelines or additional fees.
5. Fees and Payment
Fees for services are set out in the applicable SOW and billed according to the milestone structure described in that agreement. Late payments may result in a pause of active work until the account is current.
6. Limitation of Liability
To the fullest extent permitted by law, K00l Runnings shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
7. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions.
